c) Mining hardware will be compatible with all cryptocurrency networks (check the Product page for supported algorithms—e.g., “SHA-256 compatible for Bitcoin mining”);
d) Mining hardware performance will meet expectations in non-optimal conditions (e.g., high ambient temperatures affecting hash rate stability).
4.2 How Orders Work
a) When you submit an Order for mining hardware (e.g., an ASIC miner or complete mining rig), you are making a binding offer to buy the selected Products at the listed price. Annminer may reject your Order if:
i) The mining hardware is out of stock (even if the Website shows it as available due to caching delays—common for high-demand ASIC miners);
ii) The price is incorrect (e.g., a technical glitch showing an underpriced Bitcoin miner);
iii) Your payment is declined or flagged as fraudulent (especially for large mining rig orders);
iv) Shipping to your address is prohibited by law (e.g., mining hardware bans in your country).
b) Your Order is confirmed only when:
i) You receive an Order Confirmation email with a unique Order number (critical for tracking ASIC miner shipments);
ii) Annminer or its Payment Processor receives and verifies full payment (including taxes and shipping fees for heavy mining equipment).
4.3 Pre-Order Rules
a) Pre-Orders for newly released ASIC miners or custom mining rigs require a 30% non-refundable deposit to reserve the Product. The remaining 70% is due 7 days before the scheduled shipping date.
b) If you fail to pay the remaining balance on time, Annminer may cancel your Pre-Order and keep the deposit to cover administrative costs (e.g., holding mining hardware inventory).
c) Annminer may cancel a Pre-Order if the mining hardware is discontinued by the manufacturer (e.g., a delayed ASIC miner model) or banned by regulations (e.g., new mining restrictions in your region). In this case, the deposit will be fully refunded within 5 business days.
5. Payments
5.1 Pricing & Fees
a) All mining hardware prices are listed in [U.S. Dollars (USD)] unless stated otherwise. Prices may change without notice (e.g., due to fluctuations in mining hardware manufacturing costs), but confirmed Orders will not be affected by post-confirmation price changes.
b) Additional charges may apply, including:

12. Governing Law & Dispute Resolution
12.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction, e.g., the State of Delaware, USA], without regard to its conflict of laws principles. This means that any dispute arising from this Agreement will be interpreted based on the laws of this jurisdiction, even if you reside or conduct business in a different country.
12.2 Dispute Resolution Process
Before initiating formal legal action, both parties agree to attempt to resolve disputes through the following steps:
- Good-Faith Negotiation: Within 15 days of discovering a dispute, the party seeking resolution must send a written notice to the other party (via email to [disputes@annminer.com] for Annminer, or to your Account’s registered email for you) detailing the nature of the dispute, the desired resolution, and supporting documentation. The parties will then meet (virtually or in person) within 10 days of the notice to negotiate a mutually acceptable solution.
- Mediation: If negotiation fails, the parties will engage in mediation with a neutral third-party mediator selected by mutual agreement (or, if no agreement is reached, by the [American Arbitration Association (AAA)] or equivalent local body). Mediation will take place in [City, Jurisdiction, e.g., Wilmington, Delaware] and shall be completed within 30 days of mediator selection. The cost of mediation shall be split equally by both parties.
- Binding Arbitration: If mediation is unsuccessful, the dispute shall be submitted to binding arbitration in [City, Jurisdiction] in accordance with the rules of the [AAA] (or equivalent body for international disputes). The arbitration shall be conducted by a single arbitrator with expertise in cryptocurrency and e-commerce law. The arbitrator’s decision shall be final and binding on both parties, and judgment on the award may be entered in any court of competent jurisdiction.
12.3 Exceptions to Dispute Resolution
Nothing in this Section prevents either party from:
a) Seeking emergency injunctive relief to protect its rights (e.g., a court order to stop you from reselling mining hardware that infringes Annminer’s intellectual property);
b) Filing a claim with a regulatory authority (e.g., reporting a payment dispute to a consumer protection agency);
